Terms of Service

Welcome to Seeo.

These Terms of Service ("Terms") constitute a legally binding agreement between you and China Unlocked, doing business as Seeo ("Seeo," "we," "us," or "our"), and govern your access to and use of the Seeo website, applications, services, features, content, technology, and related products (collectively, the "Seeo Platform").

Please read these Terms carefully.

By creating a Seeo account, accessing or using the Seeo Platform, making a Booking, clicking a button indicating acceptance, or otherwise using a service where these Terms are presented, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not create a Seeo account, make a Booking, or otherwise use the Seeo Platform.

Certain Experiences, Bookings, features, payment services, promotions, or other services may be subject to additional terms, policies, rules, standards, disclosures, waivers, or agreements. Where applicable, those additional terms will be presented or made available to you and may form part of your agreement with Seeo or the applicable Host.

Our Privacy Policy, Cancellation Policy, Trust & Safety policies, and any other policies expressly incorporated into these Terms form part of the rules governing your use of the Seeo Platform.

1. About Seeo

Seeo operates an online marketplace designed to help travelers discover, compare, communicate about, and book travel experiences, activities, tours, cultural activities, local services, and other travel-related offerings.

Individuals, businesses, organizations, or other providers that create Listings or provide services through the Seeo Platform are referred to as "Hosts" or "Suppliers."

Persons who search for, book, purchase, attend, or participate in such offerings are referred to as "Travelers."

Tours, activities, experiences, workshops, excursions, tickets, local services, and other offerings made available through Seeo are collectively referred to as "Experiences."

Unless Seeo expressly states otherwise for a particular Experience, Seeo does not itself own, operate, organize, conduct, manage, control, or provide the Experience.

The applicable Host is responsible for providing the Experience.

Seeo provides a technology marketplace through which Travelers and Hosts may find one another, communicate, make and manage Bookings, facilitate payments, submit reviews, obtain customer support, and access related services.

Seeo may establish marketplace standards, perform certain verification procedures, moderate Listings and User Content, facilitate payments or refunds, investigate complaints, provide customer support, or take other actions designed to maintain the quality, security, or integrity of the Seeo Platform.

Such actions do not make Seeo the provider, operator, organizer, supervisor, insurer, or guarantor of any Experience.

2. Definitions

For purposes of these Terms:

"Booking" means a reservation or purchase of an Experience made through the Seeo Platform.

"Booking Confirmation" means the confirmation issued through the Seeo Platform or another method authorized by Seeo indicating that a Booking has been accepted or confirmed.

"Content" means text, photographs, images, videos, audio, reviews, graphics, information, software, data, or other materials appearing on or made available through the Seeo Platform.

"Experience" means any activity, tour, excursion, workshop, ticket, local service, travel-related service, or other offering listed or made available through the Seeo Platform.

"Host" or "Supplier" means the individual, business, organization, or other independent provider responsible for offering or providing an Experience.

"Listing" means the page, description, or other Content through which an Experience is offered through the Seeo Platform.

"Participant" means any person who attends or participates in an Experience, including the Traveler making the Booking and any additional person included in the Booking.

"Traveler" means a person who searches for, books, purchases, attends, or participates in an Experience.

"Total Price" means the total amount presented to you during checkout, including the Experience price and any fees, taxes, or other charges identified before purchase.

"User" means any Traveler, Host, or other person who accesses or uses the Seeo Platform.

"User Content" means Content submitted, uploaded, transmitted, posted, or otherwise made available by a User.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to create a Seeo account or make a Booking.

By using the Seeo Platform, you represent and warrant that:

  • you are at least 18 years old;
  • you have authority to enter into these Terms;
  • the information you provide is truthful, accurate, current, and complete;
  • your use of the Seeo Platform complies with applicable law; and
  • you are not prohibited by applicable law from using the Seeo Platform.

A Traveler who is at least 18 years old may make a Booking that includes minors where permitted by the applicable Experience.

If you book an Experience for or with a minor, you represent that you are the minor's parent, legal guardian, or otherwise legally authorized to make the relevant arrangements.

Certain Experiences may have additional age, health, fitness, licensing, skill, or other eligibility requirements.

4. Your Seeo Account

Certain features of the Seeo Platform may require you to create an account.

When creating or maintaining an account, you agree to:

  • provide accurate, current, and complete information;
  • promptly update information that becomes inaccurate;
  • maintain the confidentiality of your login credentials;
  • use reasonable measures to protect your account from unauthorized access; and
  • promptly notify Seeo if you know or suspect that your account has been accessed or used without authorization.

Your account is personal to you.

Unless expressly authorized by Seeo, you may not:

  • sell your account;
  • transfer your account;
  • assign your account;
  • permit unauthorized persons to use your account;
  • create an account using another person's identity without permission; or
  • create accounts for fraudulent, deceptive, or abusive purposes.

Unless Seeo expressly permits otherwise, each individual should maintain only one personal Traveler account.

You are responsible for activities conducted through your account to the extent permitted by applicable law.

5. Identity and Account Verification

Seeo may request or require verification of certain information for purposes including:

  • account security;
  • fraud prevention;
  • payment processing;
  • regulatory compliance;
  • Trust & Safety;
  • protecting Travelers and Hosts; or
  • determining eligibility for particular Platform features or Experiences.

Verification may involve:

  • email address;
  • telephone number;
  • full legal name;
  • age;
  • identity;
  • payment information;
  • government-issued identification; or
  • other information reasonably required for the relevant purpose.

Seeo may use independent third-party providers to perform verification.

A verification, identity check, badge, screening process, or other review performed or facilitated by Seeo does not constitute an endorsement, certification, warranty, or guarantee regarding the identity, background, qualifications, conduct, reliability, trustworthiness, or future behavior of any User.

No verification system can eliminate all risks of fraud, misrepresentation, misconduct, or identity theft.

Personal information processed through verification will be handled in accordance with our Privacy Policy and applicable law.

6. Searching for and Discovering Experiences

The Seeo Platform may allow you to search for Experiences using criteria such as:

  • destination;
  • category;
  • date;
  • availability;
  • price;
  • language;
  • duration;
  • ratings;
  • group size; or
  • other preferences.

Search results, recommendations, featured Listings, and ranking may be influenced by factors including:

  • relevance;
  • availability;
  • location;
  • price;
  • popularity;
  • Traveler ratings and reviews;
  • Host performance;
  • response rates;
  • cancellation history;
  • previous search or Booking activity;
  • saved Experiences;
  • seasonal demand;
  • quality or Trust & Safety signals;
  • promotional relationships; or
  • other factors intended to improve relevance or Platform performance.

Search placement, ranking, recommendation, labeling, or inclusion on the Seeo Platform does not constitute an endorsement, certification, recommendation, warranty, or guarantee by Seeo.

Seeo does not guarantee that search results will include every available Experience or every provider offering comparable services.

7. Listings and Host Information

Hosts are solely responsible for the accuracy, completeness, legality, and reliability of information they provide concerning their Experiences.

This information may include:

  • descriptions;
  • photographs and videos;
  • schedules and itineraries;
  • meeting points;
  • pickup information;
  • duration;
  • prices;
  • availability;
  • inclusions and exclusions;
  • accessibility information;
  • language availability;
  • required equipment;
  • age requirements;
  • health or fitness requirements;
  • safety disclosures;
  • cancellation policies;
  • additional charges;
  • permits;
  • licenses;
  • qualifications; and
  • insurance information.

Hosts are responsible for maintaining accurate and reasonably current Listing information.

Seeo may, but has no obligation to, review, moderate, organize, translate, request documentation relating to, verify, or otherwise evaluate information provided by Hosts.

Any verification, screening, badge, review, identity check, documentation request, or other process performed by Seeo means only that the applicable process was completed.

It does not constitute a representation, warranty, certification, endorsement, or guarantee concerning:

  • the identity or background of a Host;
  • the accuracy of a Listing;
  • the legality of an Experience;
  • the qualifications of a Host;
  • the safety of an Experience;
  • the adequacy or existence of Host insurance;
  • the condition of equipment or premises;
  • the quality of an Experience; or
  • the future conduct or performance of a Host.

To the fullest extent permitted by applicable law, Seeo is not responsible for errors, omissions, inaccuracies, misrepresentations, or outdated information supplied by Hosts or other third parties.

Machine-generated or third-party translations may contain inaccuracies. If information material to your Booking is unclear, you should seek clarification before making the Booking.

8. Booking an Experience

When you make a Booking, you agree to pay the Total Price displayed during checkout.

Before completing a Booking, you are responsible for reviewing:

  • the Experience description;
  • date and start time;
  • number of Participants;
  • meeting or pickup information;
  • itinerary;
  • inclusions and exclusions;
  • cancellation conditions;
  • participation requirements;
  • Host rules;
  • material safety disclosures;
  • the Total Price; and
  • any additional terms presented during checkout.

Submitting a Booking request may constitute an offer to purchase the applicable Experience.

A Booking is not confirmed until you receive a Booking Confirmation through Seeo or another confirmation method authorized by Seeo.

Seeo or the Host may reject or cancel a Booking where permitted by applicable law, including where:

  • availability has changed;
  • payment authorization fails;
  • fraud or security concerns exist;
  • an obvious pricing or Listing error occurred;
  • the Booking violates these Terms;
  • a Traveler does not meet disclosed eligibility requirements; or
  • the Experience cannot lawfully or safely be provided.

9. Contracts Between Travelers and Hosts

Unless Seeo expressly states otherwise for a particular Experience, when a Booking is confirmed, the contract for provision of the Experience is formed directly between you and the applicable Host.

Seeo is not a party to the contract for performance of the Experience.

Except solely to the extent expressly stated in separate payment terms or otherwise required by applicable law, Seeo does not act as:

  • a travel agency;
  • a tour operator;
  • an insurer;
  • an employer of the Host;
  • a partner or joint venturer of the Host; or
  • an agent responsible for providing or performing the Experience.

Hosts have no authority to make representations, warranties, promises, commitments, or obligations on behalf of Seeo or otherwise bind Seeo.

The contract between you and a Host may include:

  • the applicable Listing;
  • the Experience description;
  • the Booking Confirmation;
  • the applicable cancellation policy;
  • Host rules;
  • participation requirements;
  • safety disclosures;
  • additional Host terms properly disclosed before Booking; and
  • other conditions presented during checkout.

Seeo's operation of the Platform, facilitation of communications or payments, provision of customer support, moderation of Listings, verification activities, marketing of Experiences, or establishment of marketplace standards does not make Seeo the provider, operator, organizer, supervisor, insurer, or guarantor of an Experience.

To the fullest extent permitted by applicable law, Seeo is not responsible for a Host's performance or non-performance of the contract between you and the Host.

10. Booking for Other Travelers

You may make a Booking for other Participants where permitted.

If you do so, you represent and warrant that:

  • you have authority to make the Booking;
  • information you provide concerning Participants is accurate;
  • you are authorized to provide their personal information where applicable; and
  • you will communicate material information concerning the Experience to them.

You are responsible for ensuring that Participants receive relevant information concerning:

  • meeting instructions;
  • eligibility requirements;
  • cancellation terms;
  • safety information;
  • Host rules;
  • physical requirements;
  • identification requirements; and
  • other material conditions.

Certain Experiences may require each Participant to separately accept:

  • waivers;
  • releases;
  • assumption-of-risk agreements;
  • health declarations;
  • safety acknowledgments; or
  • other terms.

Your acceptance of these Terms does not replace separate consent from another Participant where such consent is required.

11. Prices, Fees, and Taxes

Experience prices will be displayed through the Seeo Platform.

The amount displayed during checkout may include:

  • the Host's Experience price;
  • Seeo service fees;
  • booking or processing fees;
  • applicable taxes;
  • mandatory charges; and
  • other amounts disclosed before purchase.

The Total Price will be presented before you complete the Booking.

Hosts are responsible for identifying mandatory charges relating to their Experiences as required by Seeo policies and applicable law.

Unless expressly stated otherwise, the Total Price may not include optional or independent expenses such as:

  • gratuities;
  • personal purchases;
  • optional food or beverages;
  • optional transportation;
  • travel insurance;
  • passport or visa fees; or
  • optional upgrades.

Prices may change before a Booking is confirmed.

Seeo may correct obvious pricing or technical errors, subject to applicable law.

12. Payments

Payments may be processed by Seeo, an affiliated entity, or one or more independent payment providers.

By submitting payment information, you authorize the applicable payment provider to charge your selected payment method for:

  • the Total Price;
  • agreed Booking Modifications;
  • authorized additional charges; and
  • other properly disclosed and authorized amounts.

Depending on Seeo's payment structure, Seeo or a payment provider may collect payment on behalf of the applicable Host.

Seeo may:

  • seek authorization from your payment provider;
  • conduct fraud or security checks;
  • delay a transaction while it is reviewed;
  • request another payment method;
  • decline a transaction; or
  • cancel a Booking where valid payment cannot be obtained.

Seeo may not store complete payment-card numbers. Payment credentials may instead be collected and maintained by independent payment processors.

13. Currency Conversion and Financial Institution Fees

Prices may be displayed or paid in a currency different from a Host's original Listing currency.

Where currency conversion is available, exchange rates may be determined using rates supplied by Seeo or independent providers and may include disclosed conversion adjustments.

Exchange rates may change between Booking, cancellation, refund processing, and final settlement.

Your:

  • bank;
  • credit or debit card issuer;
  • digital wallet;
  • payment provider; or
  • other financial institution

may impose foreign transaction fees, conversion fees, or other charges.

Seeo does not control and is not responsible for charges independently imposed by such institutions.

Refunds received in a different currency may differ from the amount originally charged due to exchange-rate fluctuations or independent third-party fees.

14. Booking Modifications

Requests to modify a Booking may include changes to:

  • date;
  • time;
  • number of Participants;
  • meeting or pickup location;
  • Experience option; or
  • other Booking details.

Modifications are subject to:

  • Host availability;
  • Listing conditions;
  • applicable fees;
  • price differences;
  • cancellation deadlines; and
  • Host approval where required.

A modification is not effective until confirmed through Seeo or otherwise authorized by the applicable Host.

If a modification increases the price, you may be required to pay the difference.

If a modification cannot be accommodated, the original Booking generally remains in effect unless canceled in accordance with the applicable cancellation policy.

A modification request does not pause or extend a cancellation deadline.

15. Traveler Cancellations and Refunds

Each Experience may be subject to a specific cancellation policy.

The applicable cancellation policy will be displayed or made available before you complete the Booking.

By confirming a Booking, you agree to the cancellation policy applicable to that Booking.

Depending on the Experience, a Booking may be:

  • fully refundable before a specified deadline;
  • partially refundable;
  • non-refundable;
  • eligible for rescheduling; or
  • subject to other disclosed cancellation terms.

Cancellation deadlines may be calculated according to the local time zone specified for the Experience or, if none is specified, the Host's local time zone.

The separate Seeo Cancellation Policy may establish additional rules governing:

  • cancellations;
  • refunds;
  • Host cancellations;
  • extraordinary circumstances;
  • payment reversals;
  • Booking changes; or
  • other situations.

Where a refund is due, it will ordinarily be returned to the original payment method unless another method is permitted or required.

Processing times may vary depending on payment providers and financial institutions.

Nothing in this Section eliminates cancellation or refund rights that cannot legally be waived.

16. Host Cancellations and Material Changes

Hosts are responsible for fulfilling confirmed Bookings.

A Host may occasionally cancel or modify an Experience because of circumstances including:

  • weather;
  • illness;
  • operational issues;
  • safety concerns;
  • venue closures;
  • transportation disruptions;
  • government actions;
  • insufficient participation where disclosed;
  • or other circumstances affecting performance.

Seeo may assist Travelers with:

  • refunds;
  • rescheduling;
  • replacement Experiences;
  • Platform credits where accepted and legally permitted; or
  • other remedies provided under the applicable Cancellation Policy.

However, to the fullest extent permitted by applicable law, Seeo is not responsible or liable for a Host's cancellation, delay, failure to perform, refusal to provide an Experience, or modification of an Experience.

Seeo does not guarantee that:

  • a replacement Experience will be available;
  • a replacement will be equivalent;
  • alternative travel arrangements will be available; or
  • expenses incurred outside the relevant Seeo Booking will be reimbursed.

To the fullest extent permitted by law, Seeo is not responsible for consequential expenses arising from a Host cancellation, including independently booked:

  • flights;
  • hotels;
  • transportation;
  • meals;
  • visas; or
  • other travel arrangements.

17. No-Shows and Late Arrival

You are responsible for arriving at the designated meeting point at the required date and time.

If you:

  • fail to attend;
  • arrive after the Experience has departed or begun;
  • arrive at the wrong location;
  • fail to bring required identification or documentation; or
  • otherwise fail to participate for circumstances attributable to you,

your Booking may be treated as a no-show.

Unless the applicable cancellation policy or mandatory law provides otherwise, no-shows may not be eligible for a refund.

Hosts are not required to delay an Experience or accommodate late-arriving Travelers where doing so would interfere with operations, other Participants, safety, or scheduled activities.

18. Traveler Responsibilities

You are responsible for your acts and omissions and, where applicable, for Participants included in your Booking.

You agree to:

  • comply with applicable laws;
  • follow reasonable Host and safety instructions;
  • treat Hosts, other Travelers, local residents, property, and Seeo personnel respectfully;
  • avoid conduct that endangers yourself or others;
  • provide accurate information reasonably required for the Experience;
  • comply with disclosed age, health, fitness, licensing, skill, or other requirements;
  • bring required documents, clothing, licenses, or equipment; and
  • avoid threatening, abusive, discriminatory, disruptive, unsafe, or unlawful conduct.

A Host may refuse or terminate participation where reasonably necessary because:

  • you do not satisfy disclosed eligibility requirements;
  • you create a safety risk;
  • you are significantly intoxicated or impaired;
  • you engage in threatening or abusive behavior;
  • participation would violate law; or
  • you materially disrupt the Experience.

Refund eligibility in such circumstances will be determined under the applicable Booking terms and law.

19. Travel Documents and Entry Requirements

Unless expressly stated otherwise, Seeo does not provide legal, immigration, visa, customs, tax, medical, health-entry, or border-admission advice.

You are solely responsible for obtaining and maintaining documents necessary for your travel, which may include:

  • passports;
  • visas;
  • entry permits;
  • transit visas;
  • travel authorizations;
  • licenses;
  • vaccination documentation;
  • customs documentation; and
  • other legally required documents.

Entry, immigration, customs, and health requirements may change without notice.

Information appearing on Seeo concerning such matters is provided for general convenience only unless expressly stated otherwise.

You should independently verify applicable requirements through appropriate government authorities, embassies, consulates, or qualified professionals.

To the fullest extent permitted by applicable law, Seeo is not responsible for losses resulting from your failure to obtain or maintain required travel documentation.

20. Health, Safety, and Assumption of Risk

Travel and participation in Experiences may involve inherent, known, unknown, foreseeable, and unforeseeable risks.

Depending on the Experience, these risks may include:

  • illness;
  • bodily injury;
  • disability;
  • death;
  • theft;
  • property loss or damage;
  • transportation accidents;
  • food-related illness;
  • allergic reactions;
  • physical exertion;
  • severe weather;
  • natural environments;
  • animals;
  • water activities;
  • vehicles;
  • altitude;
  • crime or misconduct by third parties;
  • unfamiliar locations; and
  • other risks associated with travel, tourism, or recreational activities.

You are solely responsible for reviewing available information and determining whether an Experience is appropriate for you and any Participant included in your Booking.

To the fullest extent permitted by applicable law, you knowingly and voluntarily assume the risks associated with traveling to, attending, and participating in Experiences booked through Seeo.

To the fullest extent permitted by applicable law, Seeo is not responsible for any injury, illness, disability, death, accident, theft, property loss or damage, emotional distress, delay, inconvenience, or other loss arising out of or relating to an Experience, including losses arising from:

  • acts or omissions of a Host;
  • acts or omissions of Host employees, guides, contractors, or subcontractors;
  • transportation provided or arranged by a Host or third party;
  • equipment supplied by a Host or third party;
  • food or beverages;
  • premises or facilities;
  • vehicles;
  • conduct of other Travelers or third parties;
  • environmental conditions; or
  • risks inherent in travel or the relevant activity.

Seeo is not responsible for determining whether you are medically, physically, legally, or otherwise capable of participating in an Experience.

Hosts are responsible for providing safety disclosures and participation requirements required by applicable law and Seeo policies.

Certain Experiences may require a separate:

  • liability waiver;
  • release;
  • assumption-of-risk agreement;
  • health or medical declaration;
  • guardian consent;
  • safety acknowledgment; or
  • participant agreement.

Nothing in this Section excludes or limits liability that cannot legally be excluded or limited.

Seeo customer support is not an emergency-response service.

In an emergency, contact the appropriate local emergency services first.

21. Travel Insurance

Unless expressly stated otherwise, the Total Price does not include:

  • travel insurance;
  • health insurance;
  • accident insurance;
  • liability insurance;
  • property insurance;
  • trip cancellation insurance; or
  • other insurance.

You are responsible for determining whether insurance is appropriate for your circumstances.

Seeo may recommend appropriate coverage, particularly for Experiences involving:

  • significant physical activity;
  • outdoor environments;
  • remote locations;
  • vehicles;
  • water;
  • adventure activities; or
  • substantial non-refundable travel expenses.

Any insurance offered by an independent provider is governed by that provider's own terms.

Seeo does not guarantee the availability or adequacy of any independent insurance policy.

22. Hosts and Seeo's Marketplace Role

Hosts are independent service providers.

Unless expressly stated otherwise, Hosts are not:

  • employees of Seeo;
  • agents of Seeo;
  • partners of Seeo;
  • joint venturers with Seeo; or
  • representatives authorized to bind Seeo.

Seeo does not direct or control the day-to-day manner in which Hosts provide Experiences.

Hosts are solely responsible for:

  • providing their Experiences;
  • complying with laws applicable to their activities;
  • obtaining required permits and licenses;
  • maintaining legally required insurance;
  • engaging qualified employees or contractors;
  • maintaining equipment;
  • implementing appropriate safety procedures;
  • complying with health and operational requirements;
  • accurately describing their Listings;
  • their personnel and subcontractors; and
  • fulfilling confirmed Bookings.

Seeo may:

  • establish marketplace standards;
  • conduct certain verification processes;
  • request documentation;
  • review or moderate Listings;
  • investigate complaints;
  • suspend accounts;
  • remove Listings;
  • facilitate customer service;
  • facilitate payments or refunds; and
  • take other measures designed to promote Platform quality or integrity.

Such actions do not create a duty by Seeo to supervise, inspect, monitor, control, or guarantee any Host or Experience.

Unless applicable law imposes a duty that cannot be waived, Seeo is not responsible for independently determining whether:

  • a Host possesses every required license;
  • a Host maintains adequate insurance;
  • equipment is safe;
  • premises are safe;
  • a Host complies with every applicable law;
  • employees, guides, contractors, or subcontractors are qualified; or
  • an Experience is suitable for a particular Traveler.

23. Communications Between Travelers and Hosts

Seeo may provide messaging or communication tools through which Travelers and Hosts can communicate.

You may use these tools only for legitimate purposes relating to Seeo or a Booking.

You may not use Seeo communications to:

  • harass or threaten another person;
  • transmit unlawful Content;
  • send unauthorized spam;
  • improperly collect personal information;
  • engage in fraud;
  • facilitate prohibited transactions;
  • circumvent Seeo's payment systems in violation of applicable policies; or
  • interfere with Seeo Platform operations.

Where permitted by applicable law and described in the Privacy Policy, Seeo may process communications for purposes including:

  • delivering messages;
  • customer support;
  • fraud prevention;
  • Trust & Safety;
  • dispute resolution;
  • enforcement of these Terms; and
  • improving Platform functionality.

24. Traveler–Host Disputes

A dispute concerning the performance of an Experience is primarily a dispute between the Traveler and the applicable Host.

Such disputes may include issues concerning:

  • service quality;
  • Host conduct;
  • missing inclusions;
  • additional or unexpected charges;
  • property damage;
  • injuries;
  • cancellations;
  • delays;
  • failure to perform;
  • Listing inaccuracies; or
  • other aspects of the Host-provided Experience.

Seeo may, but is not obligated to:

  • facilitate communications;
  • investigate a complaint;
  • request information from either party;
  • provide customer support;
  • facilitate a refund;
  • apply Seeo policies;
  • restrict a Host account; or
  • otherwise attempt to assist with resolution.

Any assistance provided by Seeo does not make Seeo a party to the dispute, make Seeo responsible for the Host's obligations, or create an obligation for Seeo to resolve the dispute to your satisfaction.

To the fullest extent permitted by applicable law, Seeo is not responsible for the outcome of a dispute between Travelers and Hosts.

Where you seek a legal remedy for an act, omission, breach, or other conduct attributable to a Host, the applicable Host is the person or entity primarily responsible for that conduct.

25. Release Relating to Hosts and Other Users

You acknowledge that Hosts and other Users are independent third parties whose conduct Seeo does not fully control.

To the fullest extent permitted by applicable law, you release Seeo, its affiliates, and their respective officers, directors, employees, and agents from claims, demands, causes of action, losses, damages, and liabilities arising out of or relating to:

  • the independent acts or omissions of a Host;
  • the independent acts or omissions of another Traveler;
  • acts or omissions of Host employees, guides, contractors, or subcontractors;
  • disputes between you and another User;
  • representations or warranties made independently by a Host;
  • your participation in an Experience;
  • interactions between you and a Host or another User; or
  • transactions or interactions occurring outside the Seeo Platform.

To the fullest extent permitted by applicable law, you agree that legal remedies relating to independent acts or omissions of a Host or another User should be sought against the person or entity responsible for such conduct rather than Seeo.

This release applies only to the maximum extent permitted by applicable law.

Nothing in this Section releases Seeo from liability that cannot legally be waived, released, excluded, or limited.

26. Reviews and Ratings

Seeo may permit Travelers to submit ratings or reviews concerning Experiences.

Reviews must reflect genuine experiences and opinions.

You may not submit:

  • fabricated reviews;
  • reviews concerning Experiences you did not attend, unless expressly permitted;
  • undisclosed paid reviews;
  • reviews exchanged for improper incentives;
  • content designed to manipulate ratings;
  • threats or harassment;
  • discriminatory material;
  • confidential information;
  • illegal content;
  • another person's personal information without authorization; or
  • material infringing third-party rights.

Seeo may moderate, restrict, decline to publish, or remove reviews that violate these Terms or applicable policies.

Seeo does not guarantee that reviews are accurate, complete, representative, or trustworthy.

Ratings, badges, rankings, labels, or positive reviews do not constitute a Seeo warranty or guarantee concerning any Host or Experience.

27. User Content

You may be able to submit User Content including:

  • reviews;
  • photographs;
  • videos;
  • profile information;
  • comments;
  • messages;
  • feedback; and
  • other materials.

You retain ownership of intellectual property rights you hold in your User Content.

By submitting User Content to Seeo, you grant Seeo a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to:

  • host;
  • store;
  • reproduce;
  • modify for technical, formatting, or presentation purposes;
  • translate;
  • display;
  • distribute;
  • communicate;
  • adapt;
  • publish; and
  • otherwise use

such User Content as reasonably necessary to operate, provide, improve, market, and promote the Seeo Platform or relevant Experiences.

This license may permit Seeo, for example, to display your review on an Experience Listing or use submitted photographs to promote Seeo or the relevant Experience.

You represent and warrant that:

  • you own the User Content or have all necessary rights to submit it;
  • Seeo's authorized use will not violate another person's rights; and
  • your User Content complies with these Terms and applicable law.

Seeo may remove User Content at any time where permitted by law and reasonably necessary to enforce Platform policies.

28. Seeo Intellectual Property

The Seeo Platform and Seeo-owned Content, including its:

  • software;
  • code;
  • interface;
  • databases;
  • designs;
  • original text;
  • graphics;
  • logos;
  • trademarks;
  • service marks;
  • branding;
  • icons; and
  • original visual materials

are owned by Seeo or its licensors and protected by applicable intellectual property laws.

Subject to your compliance with these Terms, Seeo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Seeo Platform for lawful personal travel-related purposes.

Unless expressly permitted, you may not:

  • reproduce;
  • modify;
  • sell;
  • distribute;
  • license;
  • publicly display;
  • create derivative works from;
  • commercially exploit; or
  • otherwise use

Seeo-owned Content without authorization.

No ownership rights are transferred to you.

29. Prohibited Activities

You may not use the Seeo Platform to engage in any activity described below.

Illegal or Harmful Conduct

You may not:

  • violate applicable law;
  • facilitate illegal goods or services;
  • threaten, harass, abuse, or exploit another person;
  • engage in prohibited discriminatory conduct;
  • promote violence or illegal activity.

Fraud or Misrepresentation

You may not:

  • impersonate another person;
  • provide materially false information;
  • use unauthorized payment information;
  • make fraudulent or speculative Bookings;
  • fabricate reviews;
  • manipulate ratings or search results;
  • misrepresent your relationship with Seeo.

Platform Circumvention

You may not:

  • improperly circumvent Seeo payment systems;
  • encourage another User to transact outside Seeo in violation of Platform policies;
  • misuse contact information obtained through Seeo;
  • evade account restrictions or suspensions.

Technical Abuse

You may not:

  • introduce malicious software;
  • probe or bypass Platform security;
  • interfere with Platform performance;
  • access another User's account without authorization;
  • use unauthorized bots, crawlers, scrapers, or automated systems;
  • reverse engineer Seeo technology except where such restrictions are legally prohibited; or
  • impose unreasonable loads on Seeo infrastructure.

Content Abuse

You may not:

  • infringe intellectual property rights;
  • upload illegal Content;
  • disclose private information without lawful authority;
  • transmit spam or deceptive communications; or
  • manipulate or falsify User Content.

Seeo may investigate suspected violations and take appropriate action.

30. Fraud, Security, and Platform Integrity

Seeo may use automated and manual processes to identify:

  • fraud;
  • account compromise;
  • suspicious payments;
  • identity inconsistencies;
  • fake accounts;
  • fake Listings;
  • prohibited conduct;
  • abuse;
  • security threats; and
  • safety risks.

Where reasonably necessary, Seeo may:

  • require additional verification;
  • delay transactions;
  • restrict Platform functionality;
  • cancel a Booking;
  • suspend or terminate an account;
  • block a payment method;
  • remove Content;
  • preserve relevant records; or
  • cooperate with payment providers or lawful authorities.

Fraud-prevention and security systems are not infallible and may occasionally affect legitimate Users.

Seeo will exercise these rights subject to applicable law.

32. Platform Availability and Force Majeure

Seeo does not guarantee that the Seeo Platform will be uninterrupted, continuously available, secure, or error-free.

Access to the Platform or particular functionality may be delayed, restricted, suspended, or unavailable because of circumstances including:

  • maintenance;
  • software failures;
  • infrastructure failures;
  • internet or telecommunications outages;
  • cybersecurity incidents;
  • failures by third-party providers;
  • government actions or restrictions;
  • changes in law or regulation;
  • natural disasters;
  • earthquakes;
  • fires;
  • floods;
  • severe weather;
  • epidemics or pandemics;
  • war;
  • terrorism;
  • civil unrest;
  • labor disputes;
  • transportation disruptions;
  • shortages of electricity, communications, labor, or materials; or
  • other circumstances outside Seeo's reasonable control.

To the fullest extent permitted by applicable law, Seeo will not be responsible or liable for any delay, interruption, failure to perform, inability to perform, or loss resulting from circumstances outside Seeo's reasonable control.

Seeo may modify, maintain, update, restrict, suspend, or discontinue Platform features where reasonably necessary.

A Force Majeure event affecting an individual Booking remains subject to applicable:

  • cancellation policies;
  • refund policies;
  • Host cancellation rules;
  • Booking-specific terms; and
  • mandatory law.

This Section does not independently create any right to compensation or reimbursement.

33. Promotions, Credits, and Discount Codes

Seeo may offer:

  • promotional codes;
  • referral credits;
  • coupons;
  • discounts;
  • account credits;
  • promotional pricing; or
  • similar benefits.

Additional promotional terms may apply.

Unless otherwise stated, such benefits:

  • have no cash value;
  • may not be transferred;
  • may be restricted to eligible Users or Experiences;
  • may expire;
  • may not be combined with other offers; and
  • may be withdrawn in cases of fraud, error, abuse, or misuse.

Where promotion-specific terms conflict with this Section, the specific terms govern the promotion.

34. Privacy

Our collection, use, disclosure, retention, and protection of personal information are described in the Seeo Privacy Policy.

By using Seeo, you acknowledge that you have reviewed the Privacy Policy.

Where applicable law requires separate consent for a particular processing activity, Seeo will request such consent separately.

Acceptance of these Terms does not automatically constitute consent to promotional marketing where separate consent is required.

35. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU ACCESS AND USE THE SEEO PLATFORM AT YOUR OWN RISK.

THE SEEO PLATFORM AND ALL SEEO-PROVIDED CONTENT, SOFTWARE, TECHNOLOGY, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, SEEO DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • QUIET ENJOYMENT; and
  • WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

SEEO DOES NOT ENDORSE OR WARRANT THE:

  • EXISTENCE;
  • IDENTITY;
  • BACKGROUND;
  • CONDUCT;
  • PERFORMANCE;
  • SAFETY;
  • QUALITY;
  • LEGALITY;
  • SUITABILITY;
  • LICENSING;
  • INSURANCE;
  • RELIABILITY; or
  • TRUSTWORTHINESS

OF ANY HOST, TRAVELER, EXPERIENCE, LISTING, OR INDEPENDENT THIRD PARTY.

SEEO DOES NOT WARRANT THAT ANY:

  • IDENTITY CHECK;
  • VERIFICATION PROCESS;
  • REVIEW;
  • BADGE;
  • SCREENING PROCESS;
  • SAFETY PROCESS; or
  • OTHER PLATFORM CONTROL

WILL IDENTIFY ALL PRIOR MISCONDUCT, PREVENT FUTURE MISCONDUCT, OR ELIMINATE RISK.

SEEO DOES NOT GUARANTEE THAT:

  • AN EXPERIENCE WILL BE SAFE;
  • AN EXPERIENCE WILL BE SATISFACTORY;
  • EVERY LISTING WILL BE ACCURATE;
  • EVERY HOST WILL PERFORM AS EXPECTED;
  • EVERY USER WILL ACT LAWFULLY OR APPROPRIATELY;
  • THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION; or
  • THIRD-PARTY INFORMATION OR SERVICES WILL BE ACCURATE OR AVAILABLE.

Nothing in this Section excludes warranties or rights that cannot legally be excluded.

36. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU ACKNOWLEDGE THAT SEEO OPERATES AN ONLINE MARKETPLACE AND THAT HOSTS, RATHER THAN SEEO, ARE RESPONSIBLE FOR PROVIDING EXPERIENCES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEEO, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY CLAIM, LOSS, DAMAGE, INJURY, COST, OR LIABILITY ARISING OUT OF OR RELATING TO:

  1. any Experience;
  2. any Host or other User;
  3. any act, omission, negligence, misconduct, representation, warranty, or failure to perform by a Host;
  4. any interaction between Travelers, Hosts, or other third parties;
  5. any Listing or information supplied by a Host;
  6. any cancellation, delay, modification, or non-performance of an Experience;
  7. transportation, equipment, food, beverages, premises, facilities, vehicles, or services supplied by a Host or third party;
  8. any third-party service;
  9. your use of or inability to use the Seeo Platform;
  10. any User Content; or
  11. circumstances outside Seeo's reasonable control.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEEO WILL NOT BE LIABLE FOR:

  • PERSONAL OR BODILY INJURY;
  • ILLNESS;
  • DISABILITY;
  • DEATH;
  • EMOTIONAL DISTRESS;
  • PROPERTY DAMAGE;
  • THEFT OR LOSS OF PROPERTY;
  • LOST PROFITS;
  • LOSS OF REVENUE;
  • LOSS OF DATA;
  • LOSS OF GOODWILL;
  • LOSS OF BUSINESS OPPORTUNITY;
  • LOSS OF ENJOYMENT;
  • BUSINESS INTERRUPTION;
  • INCIDENTAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • INDIRECT DAMAGES;
  • SPECIAL DAMAGES;
  • EXEMPLARY DAMAGES; or
  • PUNITIVE DAMAGES

arising out of or relating to:

  • an Experience;
  • a Host;
  • another User;
  • a Booking;
  • the Seeo Platform; or
  • any independent third-party service,

whether based on:

  • contract;
  • warranty;
  • negligence;
  • tort;
  • product liability;
  • strict liability; or
  • any other legal theory.

To the fullest extent permitted by applicable law, Seeo is not responsible for the independent acts, omissions, negligence, misconduct, representations, warranties, breaches, or failures to perform of Hosts or other third parties, even where the relevant Experience was discovered, listed, marketed, recommended, booked, paid for, reviewed, verified, or otherwise facilitated through the Seeo Platform.

If, notwithstanding the foregoing exclusions, Seeo is found liable to you for any claim arising out of or relating to these Terms, a Booking, an Experience, or use of the Seeo Platform, then, to the fullest extent permitted by applicable law, Seeo's total aggregate liability will not exceed the greater of:

(A) the amount you paid through Seeo for the Booking giving rise to the claim; or

(B) USD \$100.

The limitations and exclusions contained in these Terms are fundamental elements of the agreement between you and Seeo.

Some jurisdictions do not permit certain exclusions or limitations of liability. If applicable law prohibits a particular limitation or exclusion, that limitation or exclusion applies only to the maximum extent permitted by law.

Nothing in these Terms excludes or limits liability that applicable law does not permit Seeo to exclude or limit.

37. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless:

  • Seeo;
  • its affiliates; and
  • their respective officers, directors, employees, agents, and representatives

from and against third-party claims, liabilities, damages, judgments, penalties, losses, costs, and reasonable legal expenses arising out of or relating to:

  • your material breach of these Terms;
  • your violation of applicable law;
  • your improper or unlawful use of the Seeo Platform;
  • your User Content;
  • your infringement of another person's rights;
  • your fraud or misconduct;
  • your acts or omissions during an Experience;
  • acts or omissions of Participants for whom you are legally responsible;
  • damage or injury caused by your conduct; or
  • your interactions with another Traveler, Host, or third party.

Seeo may, at its own expense, assume control of the defense of a matter otherwise subject to indemnification, and you agree to reasonably cooperate with that defense.

This Section does not require you to indemnify Seeo for Seeo's own conduct to the extent such indemnification is prohibited by applicable law.

38. Mandatory Consumer Rights

Nothing in these Terms is intended to exclude, restrict, limit, or waive rights that cannot legally be excluded, restricted, limited, or waived.

Depending on where you reside, mandatory consumer protection laws may provide additional rights relating to:

  • refunds;
  • cancellation;
  • unfair contract terms;
  • disclosures;
  • service quality;
  • dispute resolution; or
  • liability.

Where a provision of these Terms conflicts with mandatory consumer law applicable to you, the mandatory law controls to the extent of the conflict.

39. Governing Law

Except where mandatory law provides otherwise, these Terms and any dispute arising from or relating to them will be governed by the laws of:

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms to the extent that exclusion is legally effective.

Mandatory consumer protections applicable in your jurisdiction remain unaffected.

40. Dispute Resolution

40.1 Informal Resolution

Before initiating formal legal proceedings, you and Seeo agree to attempt in good faith to resolve disputes informally where required by applicable law or the final dispute-resolution framework.

A written notice of dispute should include:

  • your name;
  • account information sufficient to identify you;
  • a description of the dispute;
  • relevant Booking information;
  • the relief requested; and
  • contact information.

Notices should be sent to:

The parties may be required to attempt informal resolution for [30/60] days before initiating arbitration or litigation.

40.2 U.S. Arbitration Provision

If Seeo adopts binding arbitration for U.S. Users, the final provision may address:

  • the Federal Arbitration Act;
  • individual binding arbitration;

  • small-claims proceedings;
  • allocation of fees;
  • arbitration location;
  • remote proceedings;
  • opt-out rights;
  • pre-arbitration procedures;
  • mass-arbitration procedures; and
  • exceptions for certain claims.

40.3 Class and Representative Action Waiver

To the fullest extent permitted by applicable law, claims subject to a valid arbitration provision may be required to proceed on an individual basis rather than as part of a:

  • class action;
  • collective action;

For disputes not subject to arbitration, and except where mandatory law provides otherwise, you and Seeo agree to the jurisdiction of:

41. Time Limit for Claims

To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to the Seeo Platform or these Terms must be commenced within one (1) year after the claim or cause of action accrued, unless applicable law requires a longer period.

If applicable law prohibits contractual shortening of a limitations period for a particular claim, the legally required period will apply.

42. Changes to These Terms

Seeo may update these Terms from time to time to reflect changes in:

  • services;
  • Platform functionality;
  • business operations;
  • legal requirements;
  • regulatory obligations;
  • payment structures;
  • Trust & Safety practices; or
  • other legitimate operational needs.

The current version will display its effective date and Last Updated date.

If Seeo makes material changes, we may provide notice through:

  • email;
  • Platform notifications;
  • account notices; or
  • prominent notice on the Seeo Platform.

Where applicable law or the nature of a material change requires renewed acceptance, Seeo may require you to affirmatively accept updated Terms before continuing to make or manage Bookings or use certain Platform features.

Changes will not retroactively modify completed transactions where prohibited by applicable law.

43. Electronic Communications

By creating an account or using Seeo, you agree that Seeo may provide notices and communications electronically where permitted by law.

These communications may include:

  • account messages;
  • Booking confirmations;
  • payment notices;
  • cancellation notices;
  • security alerts;
  • customer service communications;
  • safety information;
  • policy notices; and
  • legal notices.

Communications may be delivered through:

  • email;
  • SMS where authorized;
  • Platform notifications;
  • account messages; or
  • other electronic methods you enable.

You are responsible for keeping your contact information reasonably current.

Promotional marketing communications are handled separately and may be unsubscribed from where required by law.

44. Assignment

You may not assign or transfer your rights or obligations under these Terms without Seeo's prior written consent.

Seeo may assign, transfer, or delegate these Terms and its related rights and obligations, subject to applicable law, in connection with:

  • a merger;
  • acquisition;
  • corporate restructuring;
  • financing;
  • sale of assets;
  • transfer of business operations;
  • transfer to an affiliate; or
  • similar corporate transaction.

Where legally required, appropriate notice will be provided.

45. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law.

Where appropriate, an invalid or unenforceable provision may be interpreted or modified to most closely achieve its lawful intended purpose.

The invalidity or unenforceability of one provision will not affect the validity or enforceability of the remaining provisions.

46. Waiver

Seeo's failure or delay in exercising a right or enforcing a provision under these Terms does not waive that right or provision.

A waiver relating to one event does not constitute a continuing waiver or a waiver concerning another event.

Any waiver by Seeo must be made expressly where required by applicable law.

47. Entire Agreement

These Terms, together with:

  • the Privacy Policy;
  • policies expressly incorporated by reference;
  • additional terms applicable to specific Platform features; and
  • any applicable agreements between you and Seeo,

constitute the entire agreement between you and Seeo concerning your use of the Seeo Platform.

A particular Booking may additionally create a separate contract between you and the applicable Host as described in these Terms.

If a conflict exists between these Terms and another Seeo policy concerning your legal relationship with Seeo, these Terms control unless the other document expressly states otherwise.

Booking-specific terms may control matters specifically relating to the applicable Experience where properly disclosed.

48. Survival

Provisions that by their nature should survive termination or expiration of these Terms will continue to apply.

These may include provisions concerning:

  • accrued payment obligations;
  • User Content licenses;
  • intellectual property;
  • disclaimers;
  • releases;
  • limitations of liability;
  • indemnification;
  • governing law;
  • dispute resolution;
  • claims; and
  • other accrued rights and obligations.

49. No Third-Party Beneficiaries

Except where expressly stated otherwise, these Terms do not confer rights or remedies on any person or entity other than you and Seeo.

Nothing in these Terms creates third-party beneficiary rights in:

  • Hosts;
  • Participants;
  • other Travelers;
  • payment providers;
  • service providers; or
  • other third parties,

except where expressly provided by law or a separate agreement.

50. Language

These Terms may be made available in multiple languages for convenience.

Unless applicable law requires otherwise, the English-language version of these Terms is the controlling version.

If a translated version conflicts with the English-language version, the English-language version will control to the extent permitted by applicable law.
